1. DEFINITIONS

In these Website Terms and Conditions, unless context requires otherwise:

Term Meaning

“Agreement”

These Website Terms and Conditions in their entirety, together with the Website Privacy Policy, as amended from time to time.

“L&F” / “Practice”

Lost and Found Psychotherapy, a psychoanalytic psychotherapy practice registered in Gurugram, Haryana, India, its founder, employed and contracted therapists, and administrative staff.

“Website”

The internet platform accessible at lostandfoundpsychotherapy.com, including all sub-pages, the booking portal, client areas, and any mobile-optimized version thereof.

“User” / “You”

Any natural person who accesses or browses the Website, whether registered or unregistered, including prospective clients, current clients, professionals, and general visitors.

“Public Layer”

The publicly accessible portions of the Website, including blog posts, articles, therapist profiles, service descriptions, and educational content, accessible without registration.

“Restricted Layer”

The booking portal, client portal, session records, payment systems, and account management areas, accessible only to registered and credentialed users.

“Platform Content”

All text, data, graphics, logos, trade marks, service marks, methodologies, blog posts, newsletter content, training materials, course content, and any other content published on or accessible through the Website.

“Intellectual Property”

All rights in and to Platform Content, including copyright, trade marks, design rights, database rights, know-how, and trade secrets, whether registered or unregistered, subsisting anywhere in the world.

“Personal Data”

Any information relating to an identified or identifiable natural person, as defined under the Digital Personal Data Protection Act, 2023.

“Force Majeure”

Any event beyond L&F’s reasonable control, including natural disasters, pandemics, government restrictions, internet or platform outages, power failures, civil unrest, or legislative changes.

“Business Day”

Any day other than a Saturday, Sunday, or national public holiday in India.

“Clinical Services Agreement”

The separate agreement governing the terms of psychotherapy, supervision, and other clinical services provided by L&F to registered clients, distinct from these Website Terms.

2. ACCEPTANCE, FORMATION AND BINDING EFFECT

2.1 Binding Contract. By accessing the Website, you unconditionally accept these Terms and represent that you have read, understood, and agree to be legally bound by them. This Agreement constitutes a legally enforceable contract under the Indian Contract Act, 1872.

2.2 Capacity. You represent and warrant that you have full legal capacity to enter into this Agreement. If you are under 18 years of age, you must not use the Restricted Layer of the Website without parental or guardian supervision and consent.

2.3 Electronic Acceptance. Pursuant to Section 10A of the Information Technology Act, 2000, contracts formed electronically are valid and enforceable. Your continued browsing of the Website constitutes acceptance of these Terms.

2.4 Updates. L&F may modify these Terms at any time. The revised Terms will be posted with an updated date. L&F will provide registered users with not less than 14 days’ prior written notice of any material change by email to their registered address, however the minor changes and/or erasure will not be notified. Continued use of the Website after the effective date of any change constitutes acceptance of the revised Terms.

2.5 Conflicting Terms. In the event of any inconsistency between these Terms and any other communication, these Terms shall prevail unless a separate written agreement expressly states otherwise and is signed by an authorised representative of L&F.

2.6 Relationship to Clinical Services Agreement. These Terms govern use of the Website only. The provision of psychotherapy, supervision, and other clinical services is governed by a separate Clinical Services Agreement and Informed Consent Form, which registered clients are required to sign before commencing services.

3. THE TWO LAYERS OF THE WEBSITE

IMPORTANT — PUBLIC AND RESTRICTED LAYERS

PUBLIC LAYER — Blogs, articles, therapist profiles, service descriptions, educational content. No registration required. Open to the world to read.

RESTRICTED LAYER — Booking portal, client portal, session records, payment systems, account management. Registration required. Access is private and controlled.

3.1 Public Layer Access. Any member of the public may freely access and read all content on the Public Layer, including blog posts, articles, therapist profiles, and educational materials, without registration. Such access is actively welcomed. The restrictions in Section 4 apply to the reproduction and exploitation of Public Layer content, not to reading it.

3.2 Restricted Layer Access. Access to the Restricted Layer is granted on a limited, revocable, non-exclusive, non-transferable licence solely for the following purposes: (a) booking, managing, and attending sessions by registered clients; (b) accessing the client portal using valid credentials issued by L&F; and (c) accessing clinical supervision sessions by registered supervisees. All other access to the Restricted Layer is unlawful.

4. AUTHORISED USE AND ABSOLUTELY PROHIBITED CONDUCT

CRITICAL RESTRICTION

Any access to the Restricted Layer beyond the purposes stated in Section 3.2 is unlawful and will be prosecuted to the fullest extent permitted by Indian law, including under the Information Technology Act, 2000, the Bharatiya Nyaya Sanhita, 2023, and the Copyright Act, 1957.

All references to legislation in this document include all amendments, re-enactments, replacements, subordinate legislation, and judicial interpretations made at any time, whether before or after the date of this document, consistent with Section 8 of the General Clauses Act, 1897. L&F shall not be required to reissue this document solely because a law has changed.

(a) Unauthorised Access: Accessing, attempting to access, or assisting any third party to access any restricted area, client portal, administrative interface, or database of the Website without L&F’s prior written authorisation. This constitutes an offence under Sections 43 and 66 of the IT Act, 2000, and Section 316 of the BNS, 2023.

(b) Data Scraping and Harvesting: Using any robot, spider, crawler, scraper, data mining tool, automated script, or any other automated means (including AI-assisted tools) to access, extract, copy, download, or index any content from the Website.

(c) Reverse Engineering: Decompiling, disassembling, reverse-engineering, or otherwise attempting to derive the source code, structure, algorithms, or logic of the Website or any software forming part of it.

(d) Circumventing Security: Bypassing, disabling, or circumventing any security measure, authentication system, access control mechanism, encryption, or other technological protection measure on the Website.

(e) Credential Misuse: Sharing, selling, or transferring login credentials; creating accounts using false identities; or accessing the Website using another person’s credentials without authorisation.

(f) Content Extraction: Copying, reproducing, downloading, distributing, transmitting, displaying, selling, licensing, or otherwise exploiting any Platform Content for any purpose other than personal reference, without L&F’s prior written consent.

(g) Denial of Service: Introducing viruses, worms, malware, or any other harmful code; launching denial-of-service or distributed denial-of-service attacks; or taking any action that imposes an unreasonable load on the Website’s infrastructure.

(h) Framing and Mirroring: Framing, mirroring, or creating derivative websites based on the Website, or using meta-tags or hidden text containing L&F’s trade marks without express written consent.

(i) Competitive Intelligence: Accessing the Website to gather competitive intelligence, benchmark L&F’s services or pricing, or build a competing product or service.

(j) Impersonation: Impersonating L&F, its Therapists, its founder, employees and other linked contractors to L&F.

4.1 Legal Consequences of Unauthorised Access

L&F will pursue all available legal remedies against any person who violates Section 4, including:

  • Civil damages and account of profits under the Copyright Act, 1957 and the Trade Marks Act, 1999.
  • Injunctive relief and Anton Piller orders before Indian courts (Specific Relief Act, 1963).
  • Criminal complaint under Sections 43, 66, 66B, 66C, 66E, and 72A of the IT Act, 2000.
  • Criminal complaint under the BNS, 2023 for theft of intellectual property, cheating, and criminal breach of trust.
  • Recovery of all legal costs, investigation costs, and expenses incurred in enforcing these Terms.

5. INTELLECTUAL PROPERTY — COMPREHENSIVE PROTECTION

5.1 Data Collected Automatically - All Visitors (Public Layer)

5.1 Ownership. All Intellectual Property in the Website and Platform Content including the name ‘Lost and Found Psychotherapy’, the ‘L&F’ mark, all logos, trade dress, colour schemes, design elements, website architecture, psychoanalytic methodologies developed by L&F, written and visual content, and all works created by L&F, it’s employees and contractors for the firm are and shall remain the exclusive property of L&F.

5.2 Copyright. All original works on the Website are protected under the Copyright Act, 1957. Moral rights (right of attribution and right of integrity) are asserted in full per Section 57 of the Copyright Act, 1957.

5.3 Trade Marks. ‘Lost and Found Psychotherapy’, ‘L&F’, and associated logos are proprietary marks of L&F. These marks must not be used by any party for commercial or non-commercial purposes without L&F’s prior written consent. Passing off or creating a likelihood of confusion is actionable under the Trade Marks Act, 1999.

5.4 Database Rights. The databases underlying the Website including therapist profiles, session structuring, pricing matrices, and content databases constitute original databases protected under the Copyright Act, 1957. Systematic extraction of data is prohibited.

5.5 No Implied Licence. Nothing in these Terms grants any User any licence, right, or interest in any Intellectual Property of L&F, except the strictly limited right to access the Public Layer for personal, non-commercial reading purposes.

5.6 Infringement Reporting. L&F actively monitors the Website and the internet for infringement. Reports of suspected infringement may be submitted to dialogues@lostandfoundpsychotherapy.com. L&F will act promptly on all credible reports.

6. BLOG AND EDUCATIONAL CONTENT DISCLAIMER

BLOG AND EDUCATIONAL CONTENT IS NOT CLINICAL ADVICE

All blog posts, articles, educational materials, newsletter content, and any other informational content published on the Public Layer (collectively ‘Educational Content’) are provided for general informational and educational purposes only.

Educational Content does NOT constitute psychotherapy, psychoanalytic treatment, clinical advice, medical advice, diagnosis, or any form of professional mental health service. It is NOT a substitute for therapy, clinical consultation, or professional mental health support.

L&F makes no representation that Educational Content is accurate, complete, current, or suitable for any particular person’s circumstances. You rely on Educational Content entirely at your own risk. L&F shall bear no liability for any action taken or not taken based on Educational Content published on this Website.

9.2 Governing Law. L&F processes personal data in accordance with the Digital Personal Data Protection Act, 2023 and the Digital Personal Data Protection Rules, 2025, as the primary governing framework. For international visitors, applicable local data protection laws may also apply as described in the Privacy Policy.

9.3 Grievance Officer. In accordance with the Digital Personal Data Protection Act, 2023, L&F has designated a Grievance Officer for all data protection and privacy-related concerns. By using the Website, you accept the inherent limitations of internet-based communication.

10. ANTI-CIRCUMVENTION AND TECHNICAL SECURITY

10.1 Prohibition on Circumvention. Any attempt to circumvent, disable, or otherwise interfere with any security measure on the Website constitutes an offence under Sections 43 and 66 of the IT Act, 2000, and will be prosecuted.

10.2 Penetration Testing. Any form of security testing, penetration testing, or vulnerability scanning of the Website without L&F’s express prior written authorisation is strictly prohibited and constitutes criminal conduct under the IT Act, 2000.

10.3 Monitoring. L&F reserves the right to monitor Website access and usage for the purpose of security, fraud prevention, and enforcement of these Terms. By using the Website, you consent to such monitoring.

11. LINKS TO THIRD-PARTY WEBSITES

The Website may contain links to third-party websites, including professional resources, emergency helplines, and informational references. These links are provided for convenience only. L&F is not responsible for and expressly disclaims all liability in respect of the content, accuracy, privacy practices, security, or availability of any third-party website. 13.4 Non-Excludable Liability. Nothing in these Terms excludes or limits L&F’s liability for: (a) death or personal injury caused by L&F’s own negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot lawfully be excluded under applicable Indian law.

14. USER INDEMNIFICATION

You agree to indemnify, defend, and hold harmless L&F, its founder, directors, Therapists, employees, contractors, and agents from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your use of the Website in violation of applicable law; (c) your infringement of any third party’s rights; or (d) any false or misleading information provided by you to L&F.

15. SOCIAL MEDIA, REVIEWS, AND DEFAMATION

15.1 Genuine Reviews. L&F welcomes genuine, honest feedback about its Website and Services posted through appropriate channels.

15.2 Defamation. You must not make any false, defamatory, or misleading statement about L&F, its Therapists, or its Services in any medium. Defamatory statements are actionable under the BNS, 2023, and may give rise to civil liability in damages.

15.3 Social Media. L&F may maintain a presence on social media platforms. Interactions with L&F’s content on those platforms are governed by those platforms’ own privacy policies. L&F does not control the data practices of social media platforms and shall not be liable for any data collection or use by those platforms.

15.4 No Health Information on Social Media. Do not share sensitive personal or health information in comments, direct messages, or public posts on any social media platform. These channels are not secure and are not appropriate for confidential communication with L&F. Clients are specifically advised not to share, post, or describe any content from their therapy sessions on social media. Any information shared on social media is entirely at your own risk.

16. GOVERNING LAW, JURISDICTION, AND DISPUTE RESOLUTION

16.1 Governing Law. These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed exclusively in accordance with the laws of the Republic of India.

16.2 Exclusive Jurisdiction at Gurugram, Haryana courts. The courts of Gurugram, Haryana, India shall have exclusive jurisdiction to settle any and all disputes arising out of or in connection with these Terms or the Website. All Users, whether located in India or outside India, irrevocably submit to the exclusive jurisdiction of the Gurugram, Haryana courts as a condition of accessing the Website.

16.3 International Users. L&F is a psychotherapy practice registered and operating exclusively under the laws of the Republic of India. L&F makes no representation that this Website is lawful or available for use in any jurisdiction outside India. It is the User’s sole responsibility to verify this before using the Website.

16.4 Foreign Judgment Shield. Any judgment obtained against L&F in a foreign court in connection with these Terms shall not be enforceable against L&F or its assets in India without fresh proceedings before the courts of Gurugram, Haryana subject to all applicable Indian law requirements for recognition of foreign judgments.

16.5 Mediation. Prior to initiating formal legal proceedings (other than for urgent interim relief), the parties agree to attempt to resolve any dispute through good-faith negotiation for a period of 30 days.

16.6 Binding Arbitration. Any dispute not resolved through negotiation or mediation shall be referred to and finally resolved by binding arbitration under the Arbitration and Conciliation Act, 1996. Seat: Gurugram, Haryana. Language: English. The award shall be final and binding. Each party bears its own costs unless the arbitrator decides otherwise. All arbitration proceedings shall be strictly confidential.

16.7 Complaints. Formal complaints should be submitted in writing to dialogues@lostandfoundpsychotherapy.com. L&F will acknowledge your complaint within 7 Business Days and provide a substantive response within 30 Business Days.

16.8 Consumer Tribunal. Nothing in these Terms prevents an Indian User from bringing a complaint before an appropriate Consumer Disputes Redressal Commission under the Consumer Protection Act, 2019.

17. FORCE MAJEURE

L&F shall not be in breach of these Terms, nor liable for any failure or delay in the availability of the Website, to the extent that such failure or delay is caused by a Force Majeure event. L&F will use reasonable efforts to restore Website availability as soon as practicable.

18. MODIFICATIONS TO THE WEBSITE

L&F reserves the right to modify, suspend, or discontinue the Website or any feature thereof at any time. L&F shall not be liable for any such modification, suspension, or discontinuation, except that where discontinuation directly affects a registered client’s prepaid sessions, a proportionate refund will be offered under the Clinical Services Agreement.

19. GENERAL PROVISIONS

19.1 Severability. If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision shall be severed. The remaining provisions shall remain in full force and effect.

19.2 Waiver. No failure or delay by L&F in exercising any right or remedy shall constitute a waiver of that right or remedy.

19.3 Entire Agreement. These Terms, together with the Website Privacy Policy, constitute the entire agreement between L&F and you in relation to your use of the Website. Registered clients are also bound by the Clinical Services Agreement and Informed Consent Form.

19.4 Assignment. You may not assign any of your rights or obligations under these Terms. L&F may assign its rights in connection with any restructuring, sale, or merger of the Practice.

19.5 Notices. All formal notices shall be in writing and delivered by email to the addresses set out in Section 20. Notices sent by email are deemed received on the next Business Day following transmission.

19.6 Non-Discrimination. L&F is committed to providing access to its Website without discrimination on any prohibited ground under applicable Indian law, including the Rights of Persons with Disabilities Act, 2016.
